TMT ID Customer Advisory Group – Event Terms and Conditions

1. Introduction

1.1 These Terms and Conditions (“Terms”) apply to all in-person, virtual and hybrid events (“Events”) organised, hosted or operated by TMT Analysis Limited or any of its subsidiaries (“TMT ID”, “we”, “us” or “our”).

1.2 By registering for, attending, participating in or accessing an Event, attendees agree to be bound by these Terms and the applicable Event Code of Conduct.

1.3 These Terms should be read together with: (a) TMT ID’s Privacy Policy; (b) TMT ID’s Website Terms and Conditions; and (c) the applicable Event Code of Conduct.

1.4 In the event of inconsistency between these Terms and the Event Code of Conduct, these Terms shall prevail.

2. Scope and Application

2.1 These Terms apply to: (a) all Event attendees, guests, representatives and participants; (b) all Event-related activities, including networking sessions and informal discussions; and (c) all physical, digital and hybrid Event platforms operated or used by TMT ID.

3. Registration and Attendance

3.1 Attendance at Events is by invitation or approval only.

3.2 TMT ID reserves the right to: (a) refuse, withdraw or cancel registrations at its sole discretion; (b) verify attendee identity or business affiliation; (c) limit attendance numbers; and (d) restrict participation to selected customers, prospective customers, partners or invitees.

3.3 Attendees must ensure that all registration information provided is complete and accurate.

3.4 Attendees are responsible for their own travel, accommodation, visa and immigration requirements, and for maintaining appropriate travel and medical insurance, in connection with attendance at any Event.

4. Event Changes and Cancellation

4.1 Event content, speakers, venues, schedules and formats may change without notice.

4.2 TMT ID may amend, postpone, relocate, suspend, convert or cancel any Event at any time.

4.3 To the fullest extent permitted by law, TMT ID shall not be liable for any costs, losses or expenses arising from Event cancellation, postponement, venue changes or technical disruption.

5. Attendee Conduct

5.1 Attendees must: (a) behave professionally, respectfully and in good faith; (b) comply with all applicable laws, regulations and venue requirements; (c) comply with reasonable instructions issued by TMT ID or Event staff; and (d) contribute to a safe, inclusive and professional environment.

5.2 Attendees must not: (a) engage in abusive, disruptive, discriminatory, intimidating or offensive conduct; (b) interfere with the participation of other attendees; (c) misuse Event systems, platforms or communications; or (d) use the Event for unauthorised solicitation, promotion or commercial activity.

6. Competition Law and Regulatory Compliance

6.1 Events are intended solely for lawful business networking, customer engagement and industry discussion purposes.

6.2 Attendees must not disclose, discuss or exchange: (a) pricing information; (b) margins, bids or tender strategies; (c) commercially sensitive information; (d) confidential customer or supplier information; or (e) any information that could infringe competition, antitrust, market abuse or similar laws. Nothing in this clause prevents an attendee from providing feedback, requirements or product input directly to TMT ID in relation to TMT ID’s own products, services and roadmap, provided that no competitively sensitive information of any other attendee or third party is disclosed or exchanged in doing so.

6.3 Attendees remain solely responsible for ensuring that their participation complies with all applicable legal, regulatory and internal compliance obligations.

7. Anti-Bribery and Hospitality

7.1 TMT ID operates in accordance with applicable anti-bribery and anti-corruption laws, including the UK Bribery Act 2010.

7.2 Any hospitality, meals, accommodation, travel or entertainment provided in connection with an Event: (a) are provided solely for legitimate business purposes; (b) must not be regarded as an inducement, reward or improper advantage; and (c) remain subject to attendees’ own internal compliance and approval requirements.

7.3 Attendees are responsible for ensuring that attendance and acceptance of hospitality comply with their employer’s policies and applicable laws.

8. Confidentiality

8.1 Unless expressly stated otherwise, information disclosed during an Event must be treated as confidential. Confidentiality obligations do not apply to information which: (a) is or becomes publicly available other than through a breach of these Terms; (b) was lawfully known to the attendee before disclosure; or (c) is required to be disclosed by law or a regulator, provided that (where lawful) reasonable prior notice is given to TMT ID.

8.2 Attendees must not: (a) disclose Event discussions, presentations or materials to third parties; (b) record or distribute Event content without prior written consent of TMT ID; or (c) use information obtained through the Event for unauthorised commercial or competitive purposes.

8.3 All confidentiality obligations survive the conclusion of the Event.

9. Intellectual Property

9.1 All Event materials, presentations, recordings, branding and related content remain the property of TMT ID or the applicable rights holder.

9.2 No Event content may be copied, reproduced, distributed, published or commercially exploited without prior written consent from TMT ID.

9.3 Attendees may provide comments, suggestions, requirements, ideas or other feedback relating to TMT ID’s products, services, strategy or roadmap (“Feedback”). TMT ID may use, disclose, reproduce and commercially exploit Feedback on a perpetual, irrevocable, worldwide and royalty-free basis, without restriction, attribution or compensation. TMT ID is under no obligation to implement any Feedback, and attendees must not provide as Feedback any information which is confidential to their organisation or to any third party.

10. Photography, Recording and Publicity

10.1 TMT ID may photograph, record or otherwise capture Events for operational, security, marketing and promotional purposes.

10.2 By attending an Event, attendees acknowledge that their image, voice, name or likeness may appear in Event-related materials unless they object by notice to TMT ID, which they may do at any time (including after the Event, in which case TMT ID will cease further use of the relevant materials within a reasonable period).

11. Data Protection and Privacy

11.1 TMT ID will process personal data in accordance with applicable UK data protection legislation, including the UK GDPR and the Data Protection Act 2018.

11.2 Further information regarding TMT ID’s processing of personal data is available in the TMT ID Privacy Policy.

12. Liability

12.1 Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful. Without limitation, nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

12.2 Subject to clause 12.1 and to the fullest extent permitted by law: (a) Events and Event materials are provided on an “as is” and “as available” basis; (b) TMT ID does not warrant the accuracy, completeness or suitability of Event content; (c) attendees remain responsible for their own decisions and actions arising from Event participation; and (d) TMT ID shall not be liable for (i) indirect or consequential losses; or (ii) loss of profit, business opportunity, goodwill or anticipated savings, in each case whether direct or indirect.

12.3 TMT ID’s aggregate liability to each attendee arising out of or in connection with an Event shall not exceed £1,000.

13. Third-Party Providers and Venues

13.1 Events may be hosted using third-party venues, systems or technology platforms.

13.2 TMT ID shall not be responsible for: (a) acts or omissions of third-party providers; (b) venue operations or failures; (c) technical interruptions or connectivity issues; or (d) third-party platform availability or performance.

13.3 Attendees must comply with any applicable venue or third-party platform terms.

14. Refusal and Removal of Attendance

14.1 TMT ID reserves the right to: (a) refuse admission to an Event; (b) suspend or terminate Event access; or (c) require any attendee to leave an Event, where TMT ID reasonably considers that these Terms, the Code of Conduct or applicable laws have been breached, or where continued participation may create operational, legal, regulatory or reputational risk.
